merger and split-off operations Explanation: That's it. -------------------------------------------------- Note added at 52 mins (2011-04-15 22:18:32 GMT) -------------------------------------------------- Split-off: The process whereby a parent corporation organizes a subsidiary corporation to which it transfers part of its assets in exchange for all of the subsidiary's capital stock, which is subsequently transferred to the shareholders of the parent corporation in exchange for a portion of their parent stock. A split-off differs from a spin-off in that the shareholders in a split-off must relinquish their shares of stock in the parent corporation in order to receive shares of the subsidiary corporation whereas the shareholders in a spin-off need not do so. |

mergers and divisions Explanation: I don't think you need to translate "operaciones" as such; "mergers and divisions" alone is enough: "Third and Sixth Company Law Directives:Company Mergers and Divisions" http://www.bis.gov.uk/policies/business-law/company-and-part... -------------------------------------------------- Note added at 30 mins (2011-04-15 21:56:58 GMT) -------------------------------------------------- "Spin-off" (also "spin-out") is primarly American usage. escisión la operación por la cual una sociedad transfiere a dos o más sociedades ya existentes o nuevas, como consecuencia y en el momento de u disolución sin liquidación, la totalidad de su patrimonio, activo y pasivo, mediante la atribución a sus socios, con arreglo a una norma proporcional, de títulos representativos del capital social de las sociedades beneficiarias de la operación y, en su caso, de una compensación en dinero que no exceda del 10% del valor nominal o, a falta de valor nominal, de un valor equivalente al nominal de dichos títulos deducido de su contabilidad DOCE L 225,20.08.1990, p. 2 division an operation whereby a company, on being dissolved without going into liquidation, transfers all its assets and liabilities to two or more existing or new companies, in exchange for the pro rata issue to its shareholders of securities representing the capital of the companies receiving the assets and liabilities, and, if applicable, a cash payment not exceeding 10 % of the nominal value or, in the absence of a nominal value, of the accounting par value of those securities OJEC L 225,20.08.1990,p.2 " http://iate.europa.eu/iatediff/SearchByQuery.do?method=searc... -------------------------------------------------- Note added at 1 hr (2011-04-15 23:01:52 GMT) -------------------------------------------------- Further to María Eugenia's comment: "What Does Split-Off Mean? A type of corporate reorganization whereby the stock of a subsidiary is exchanged for shares in a parent company. Investopedia explains Split-Off This is a somewhat rare situation. For example, Viacom announced a split off of its interest in Blockbuster in 2004 whereby Viacom offered its shareholders stock in Blockbuster in exchange for an appropriate amount of Viacom stock." http://www.investopedia.com/terms/s/split-off.asp Here is how "escisión" is defined in the Spanish Ley de Sociedades Anónimas: "Sección tercera. Escision Art. 252. Concepto y requisitos. 1.
