Proceedings of Directors

A Director may vote at any meeting of the Directors or of any Committee of the Directors on any Resolution notwithstanding that it in any way
concerns or relates to a matter in which he has directly or indirectly any kind
of interest whatsoever and if he shall vote on any such Resolution as
aforesaid his vote shall be counted; and in relation to any such Resolution as
aforesaid he shall (whether or not he shall vote on the same) be taken into
account in calculating the quorum present at the meeting, PROVIDED THAT
a Director shall not vote on either his conditions of service, or on the
emoluments attaching thereto.

Das Einzige, was mir einfällt (und akzeptabel sein könnte) ist Verfahrensweise bezüglich Direktoren. Ich weiß aber nicht mal, ob das das Gemeinte ist; davon, dass es nicht so gut klingt, mal abgesehen.

Explanation:
Wobei die amerikanischen Gremien anders strukturiert sind als die Deutschen. Manchmal ist es nicht dumm, Directors board zu schreiben, wenn es sich um eine US-Firma handelt. Man übersetzt ja den amerikanischen Kongress auch nicht mit Bundesrat.

Dann wären es also Richtlinien für Mitglieder des Directord Board, oder was es auch immer für ein Gremium sein mag.
