this is in a contract between a company in Mexico and another in the U.S.:

Terminación. Cualquiera de las partes podrá dar el presente Contrato por terminado por cualquier razón enviando un aviso por escrito con sesenta (60) días de antelación a la terminación a la otra parte. Cualquiera de las partes podrá dar el presente Contrato por terminado por las siguientes causas: (i) al recibir un aviso por escrito con treinta (30) días de antelación a la fecha de terminación, de un incumplimiento material si el incumplimiento no ha sido subsanado dentro del período de 30 días; o (ii) inmediatamente al otorgarle un aviso por escrito a la otra parte, (a) si la otra parte trata de llevar a cabo una cesión en violación de los términos del presente Contrato, o (b) si la otra parte se declara insolvente o en quiebra o una petición se presenta en cualquier tribunal y no se desestima dentro de un período de noventa (90) días, para declarar a la otra parte en quiebra, concurso mercantil o para la reorganización de la otra parte bajo el acta de quiebras de los Estados Unidos de América o bajo cualquier otro estatuto similar de los Estados Unidos Mexicanos; o (c) si la otra parte está de acuerdo en nombrar un fideicomisario para la quiebra o síndico de una entidad similar.
