5. DISCRETIONARY BONUS AWARD SCHEME
5.1. You may, during the continuance of your employment, be eligible to participate in the Discretionary Bonus Award scheme for Officers, subject to the rules of the Scheme from time to time in force.
The purpose of any bonus is two-fold:
5.1.1. to recognise and reward an individual who makes a significant contribution to his/her business unit and the Company, by way of his/her overall performance, including but not limited to his/her professional conduct, during the year; and
5.1.2. to provide an incentive to an individual to maintain and improve his/her overall performance and remain in the employment of the Company.

5.2. Firm-wide performance and the business unit performance will be taken into account in determining in its absolute discretion whether an individual may be eligible to be paid any Discretionary Bonus Award and if so, the amount of such bonus.

5.3. Under current compensation arrangements a proportion of any Bonus Award maybe awarded in the form of Restricted Stock Units, Stock Appreciation Awards or other long term stock incentive awards. The nature, proportion of total bonus and terms of these awards may change from time to time at the sole discretion of the Company.

5.4. You will not be eligible to receive a Bonus Award if, on or before the due date for payment of any bonus, you have either given or received notice of termination of your employment with the Company, or your employment has been terminated (with or without notice) by the Company, or you are the subject of the Company’s disciplinary procedure by reason of a complaint which, if upheld, would amount to gross misconduct or any other serious breach of regulatory or legal requirements or Company procedures, and for which you are subsequently dismissed by the Company.
