Per procura si considera un atto giuridico, rivolto ai terzi, con cui una persona, chiamata il rappresentato, conferisce il potere di compiere atti giuridici in suo nome e nel suo interesse ad un'altra persona, chiamata rappresentante; gli effetti di questi atti giuridici saranno direttamente imputati al rappresentato stesso. Il termine si usa anche per indicare il documento stesso con cui è possibile provare l'esistenza dell'atto giuridico di procura. Il Mandato è un contratto tramite il quale un soggetto (detto mandatario) assume l'obbligo di compiere uno o più atti giuridici per conto e nell’interesse di un altro soggetto (detto mandante). Questo contratto può essere stipulato con rappresentanza o procura; o senza rappresentanza, a seconda dell’interesse del mandatario. La procura non è un contratto ma è un negozio unilaterale che attribuisce un potere ad un altro soggetto, il rappresentante, un potere che quest'ultimo potrà usare verso i terzi.
