1 (任意)代理; 代理権
□二当事者間の合意により, 一方(代理人)が他方(本人)に代って一定の行為をなし, その効果を本人に帰属させる制度をいう. 代理人が本人の名において行為する場合 (disclosed principal) のほかに, 英米法においては, 自己の名において行為する場合にもその効果が本人に帰属することがある(いわゆる, undisclosed principal (隠れた本人)の法理). 代理人と本人の間には fiduciary relation (信認関係)が認められ, 代理人は, 別段の合意がないかぎり, もっぱら本人の利益をはかる義務を負う. また本人は, 代理人の行動を指揮監督する権限が認められ, 代理人が授権の範囲内で行為するかぎりにおいて, 代理人が締結した契約による債務を負い, 代理人のなした不法行為の責任を問われ, また場合により刑事責任を負うこともある.
▲この言葉は, 日本法の任意代理, 委任, 使用者責任を含む意味で用いられることが多い. 他方, 法定代理に正確に対応する言葉はない. →apparent agency; agent
