To explain what exactly it is: 25 A associação em participação é configurada no direito francês, segundo indica o juiz nacional, como uma forma associativa desprovida, por natureza, de personalidade jurídica, não oponível a terceiros e de natureza oculta. Com efeito, após a Lei n._ 78-9, de 4 de Janeiro de 1978, a associação em participação está regulada nos artigos 1871._ e 1872._-2 do código civil francês, que a concebem como um contrato de sociedade com importantes particularidades (17). A principal característica da associação em participação reside no facto de não ter personalidade jurídica, como consequência da sua não inscrição no registo comercial, nos termos do primeiro parágrafo do artigo 1871._, e isso independentemente do seu possível carácter oculto, que não é imprescindível que se verifique, embora ocorra na maioria dos casos. As consequências que resultam da falta de personalidade jurídica deste tipo de sociedades são, entre outras, as seguintes: ausência de firma comercial e de sede social, ilegitimidade para agir em juízo, inexistência de património social e de obrigações sociais. Não existindo um património próprio da associação em participação, os sócios continuam a ser proprietários das entradas que realizam para a sociedade, salvo estipulação de indivisão ou de gestão por parte de um dos sócios, normalmente o gerente, dos bens trazidos para a sociedade nas relações com terceiros. 25 The société en participation in French law is, as the national court states, a form of association which, by its nature, lacks legal personality, is not effective against third parties and need not be disclosed. Since Law No 78-9 of 4 January 1978, the société en participation has been governed by Articles 1871 to 1872-2 of the French Civil Code, which regards it as a contract of association with important special features. (17) The main characteristic of the société en participation is that it lacks legal personality because it is not entered in the register of companies according to the first paragraph of Article 1871, whether or not it is undisclosed; disclosure is not compulsory, and in most cases such sociétés are undisclosed. The consequences of the lack of legal personality of the société en participation are inter alia as follows: it has no corporate name or registered office, it has no capacity to sue or be sued and it has no corporate assets or liabilities. As it has no assets of its own the members continue to own the contributions they make to the société unless there is a provision for joint ownership or for management by one of the members, normally the manager, of the assets contributed to the société in its relations with third parties. |
