The certificate I am looking at certifies the text following as being a correct copy of the company bylaws (indicates the authority some members of the administration have to execute contracts, etc.). It also Mentions that someone is the president and includes his signature.

The translation I have seen in Kudoz is "Certificado de incumbencia". However, Google only gave me 13 hits in Spanish, which makes me wonder. Does anyone have a better suggestion?

Asker: Mil Gracias por tu pronta respuesta. Lo tendré en cuenta pero voy a esperar a ver que otras sugerencias hay. En principio me parece correcto, de todas maneras mejor que "certificado de incumbencia".

En el caso de que el contenido de la certificación acredite solo el nombre de los representantes legales de la entidad y los cargos que ocupan en la misma; si el certificado es ademá acreditativo de cosas tales como la cifra de capital social, domicilio social, o de la efectiva constitución e inscripción en el Registro Mercantil, habría que detallar un poco el contenido, pues, al menos en España, no hay un nombre establecido para una certificación de contenido tan amplio y variable.

agree  Eduardo Roman: Coincido con la explicacion de Maria Garcia. El problema se basa en el hecho de que el documento inicial no es un "Certificate of Incumbency" como se conoce en los EU (or England). A true incumbency certificate solamente debe de confirmar titularidad.
