Explanation:
в течение одного года с даты, указанной в счете-фактуре, или с даты поставки товара, если это случится ранее. (или "если последняя - т.е. поставка - произойдет ранее")

"ранее" (т.е. до окончания этого годичного срока)

если так не "расписывать" то в русском выходит нескладуха, поскольку сравнивается число, проставленное на инвойсе И, собственно, shipment - но подразумевается именно СРОК этого шипмента :-))
