Law/Patents - Law: Contract(s)
English term or phrase: фраза
Пункт из дилерского соглашения, статья о неучастии в конкуренции. Непонятный кусок выделен звездочками.
However, the Reseller may represent, market or manufacture non competitive products (provide not for the benefit of competing manufacturers) on condition that he previously informs the Manufacturer in writing (stating in detail the types and characteristics of such products), and ***that the exercise of such activity does not prejudice represented or distributed by the Reseller on the date on which this agreement is signed, is contained ***in Annex B.

В частности, неясно:

- что здесь означает "represented" и "distributed";

- если это относится к "быть представителем фирмы-производителя" (весь договор, собственно, этому и посвящен) и "заниматься сбытом ее изделий", то как это связано, с одной стороны, с "prejudice" (может, пропущено слово между prejudice и represented?), а с другой - с "on the date on which";

- к какому подлежащему относится "is contained"? Может, это "as contained"? Хотя и тогда не очень понятно, к чему оно относится.

Explanation:
It looks like it should be "does not prejudice [something - products?] represented or distributed by the Reseller."

The phrase "is contained in Annex B" could be "as contained" and refer to the [something] . Otherwise the "is contained" refers to absolutely nothing at all.

The problem is with the original - either someone was editing it and didn't finish, or perhaps it was scanned and the client didn't check it to make sure all the words were there?

I think the "on the date on which this agreement is signed" refers to the word or phrase that is missing. In other words, the Reseller may not engage in activity that prejudices [something - possibly products] that is represented or distributed by the Reseller as of the day the agreement is signed (as opposed to things distributed during the previous week or year, etc.).

Hope this helps!

Thank you! Do I understand correctly that "on the date on which this agreement is signed" refers not only to the day of signing per se, but also to the whole period of contract currency thereafter?
