This is how I read it: "whether or not such items are marked 'Confidential'," refers to all the items referred to after "including, without limitation" i.e. if they are in writing, it doesn't matter if they are stated to be confidential or not. If the item falls within the categories listed, it is confidential information. However, if confidential information is given orally, then you have to say at the time that it is confidential and you have to set out the confidential information in writing within 30 days of talking about it. This is how I understand "reduced to writing" i.e. that it is not enough simply to write that the information given orally was confidential. I have a horrible feeling my explanation is as opaque as the source text!! I hope it helps. |
