WITNESSETH

WHEREAS, Seller conducts, inter alia, a business which contains the mixing of rubber compounding operated at its plant 2 in VVV, Germany;

WHEREAS, Buyer is an active company of a Spanish group of companies whose activity consists of the manufacture, marketing and distribution of products in rubber compounding and, as part of its current strategy and in order to make use of its knowledge of the business sector, wishes to open up the products of the group to international markets (especially the European Union). In accordance with this goal, Buyer is interested in acquiring rubber compounding businesses placed in the European Union territory. Simultaneously with the execution of this Agreement, Buyer’s parent company and Seller will execute a supply agreement whereby the Spanish company UUU, S.A. will supply its products to Seller’s and its Affiliates’ plants in Germany, France, the Czech Republic and other countries where Seller and its Affiliates have sealing plants. The execution of this Agreement and the Other Agreements (as defined below) is essential for UUU, S.A. and its Affiliates to open and develop international markets and constitutes a key step in their current and future strategies;

WHEREAS, Buyer desires to purchase substantially all of the assets pertaining to the Business (as defined below) from Seller, and Seller desires to sell substantially all of the assets pertaining to the Business to Buyer, upon the terms and subject to the conditions set forth in this Agreement,

NOW, THEREFORE, in consideration of the foregoing and the representations, warranties, covenants and agreements contained in this Agreement, Seller and Buyer agree as follows:

SECTION 1. DEFINITIONS

Wait, is "completion" referring to the Vertrag or the Purchase? Is Completion Date defined as well? If the later, then maybe Vollendung des Verkaufs/Vermögensübernahme would be appropriate
