I think it means that he is DG but not a Board member. Is this right and is there a proper way of saying it in English?

It's possible to be a MAnaging Director and not be on the board.

It is impossible to be a Managing Director and be non-executive. That is a contradiction in terms...

The hard part here is that non-executive director is used in the UK to mean Board Members who do not actively participate in the day to day management of the company..

This paradox (ie non-executive) is, I think, due to corporate structures in the US, where Managing Directors/CEOs are not board members.

This provides added control and improved corporate governance - ie there is an executive decision-making level above the CEO.

Please correct me if this is wrong (I'm more familiar with business structures in Irl and the UK), but I've got a feeling it's accurate.

Reading Jane's note above, I just wanted to add that, in the UK, a non-executive Manging Director can and does exist. It is also worth noting that a non-executive director IS, in actual fact, a member of the Board of Directors of a UK company - as I was on a number of different companies.

Sorry, I meant to say "Non-exectuive Chairman", not MD, does exist. Of course, as Jane says, to say "non-ex MD's would be an anomaly. In this case, I think they must mean Non-ex Chairman" .... except, does a "Chairman", per se, exist in France???

disagree  Jane Lamb-Ruiz (X): Impossible..a Managing Director is the Top Executive but does not necessarily have to be a member of the board...not to be confused with non-executive member or director of the board. The MD leads the company not the board; that is the Chairman!! :)

  -> Oh yes, an MD DOES have to be a member of the Board! Any, and every, director IS a member of the "Board of Directors" and the MD is actually the leader of the BoD.
