Explanation:
La dissolution-confusion, appelée aussi fusion par confusion de patrimoine, a été introduite par la loi du 5 janvier 1988, sous l'article 1844-5 du code civil.

Cette opération permet de réaliser un transfert universel de patrimoine (TUP) avec un formalisme allégé par rapport aux fusions dites simplifiées.

L'absorption d'une filiale contrôlée à 100% bénéficie d'un régime simplifié prévu à l'article L236-11 du code de commerce.

La dissolution par confusion de patrimoine permet la disparition des filiales détenues à 100% sans qu'il soit nécessaire de réunir une assemblée générale extraordinaire de la société absorbante, sans l'intervention d'un commissaire aux apports et sans traité de fusion, à la différence d'une fusion " simplifiée ".

La dissolution-confusion constitue un type particulier de dissolution qui n'est possible que si toutes les parts de la société dissoute sont détenues par un seul associé.

Depuis la loi NRE du 15 mai 2001, l'associé unique ne peut plus être une personne physique mais uniquement une personne morale.

Lorsqu'une société est devenue l'actionnaire unique de l'une de ses filiales, le recours à la confusion de patrimoine lui permet d'appréhender, moyennant un formalisme allégé, la totalité des biens de la société dissoute sans sa liquidation.

Slight correction/additional material:

"Dans le langage courant, c’est devenu synonyme, mais si on veut être précis juridiquement parlant, il faut préciser que la DC [dissolution-confusion] est l’opération juridique, la TUP est un des deux effets, et la disparition de la personnalité morale est l’autre effet."

So "universal transfer of assets and extinction of legal personality" are the effects of DC.

You could also put it as "a winding-up giving rise to a merger", but that sounds like a contradiction in terms...
